Mark is a Senior Associate in the corporate and commercial team, advising on mergers and acquisitions, capital raising and initial public offerings (IPOs), corporate governance, procurement and outsourcing transactions.

With over 15 years’ experience, Mark is a specialist in drafting and negotiating complex, high-value commercial contracts. He provides tailored, client-focused advice that is pragmatic and commercially astute.

Mark’s clients come from a diverse range of industry sectors including finance, insurance, infrastructure, energy, utilities, healthcare and medical technology and ICT.

Mark brings a progressive and innovative approach to his commercial practice. This includes the development of automated legal solutions to help clients streamline commercial contracts to improve efficiency and mitigate risk.

Mark’s recent work includes:

  • advising on the takeover of a mid-sized finance business, including takeovers code, foreign investment approvals, employee share and option schemes, and its subsequent IPO on the ASX.
  • advised on the acquisition project of a large defence-force contractor in the marine industry.
  • advisor to a large manufacturer on the acquisition of distressed upstream supply chain assets.
  • advisor to a large UK listed business on the outsourcing of various business process outsourcing matters internationally, and managed the global roll-out to the Middle East and Asia-Pacific regions.
  • advisor to a medical technology business on its IPO listing.
  • advised on a $80m sale of an insurance brokerage to a large listed insurance underwriter.
  • advising the procurement team of a large UK listed company on a range of procurement transactions, including SAAS and technologies, medical, defence and corrections.
  • providing legal oversight of IT implementation projects, including various system and services procurement projects.
  • providing legal oversight of the downstream retail and credit division of a major international oil company, covering in excess of 200 retail sites.
  • drafting and reviewing of various downstream oil and gas agreements, with a large focus on a major international oil company
  • drafting access and development agreements for installation of utilities in the greater Auckland region.
