Tom is a corporate and commercial lawyer with a focus on mergers and acquisitions, capital raising, corporate governance, New Zealand's Overseas Investment Office regime, employee share schemes and the negotiation of commercial contracts.

Tom joined Lowndes Jordan from Simpson Grierson's corporate team, where he gained valuable experience in a variety of corporate law matters.  He is a highly motivated and results-oriented lawyer who is passionate about providing clients with the best possible service.

M&A

  • Advised 2degrees on the sale of its mobile towers to Connexa for $1.1 billion.
  • Advised DB Breweries on the establishment Star Hospitality Group and its subsequent acquisition of the Kāpura and Joylab hospitality groups to form New Zealand's largest hospitality group.
  • Advised on the sale of 360 Capital's in PMG Funds and the subsequent investment in PMG Funds by Oriens Capital.
  • Advised on the proposed sale of a nationwide chemical home improvement business.
  • Advised on the successful buyout of a UK based joint venture partner.

Capital Raising

  • Advised on the establishment of a joint venture property fund between an established fund manager and iwi entities.
  • Advised on a series of capital raises by a market leading property funds syndication and management business.
  • Provided advice to overseas listed issuers on the application of New Zealand securities to various proposed capital raises.
  • Provided initial advice and steps plan for the proposed merger of two unlisted property funds.

Business Advisory

  • Provided advice on the commercial arrangements on a leading satellite hardware and software firm.
  • Negotiated a distribution agreement between a domestic chemical home improvement business and its UK distributor.
  • Provided advice on the commercial arrangements of a regional council.

Employee Share Schemes

  • Managed the employee share scheme for a New Zealand business owned by an Australian private equity firm.
  • Amended the employee share scheme to reflect the agreed treatment of various capital injections for a New Zealand business owned by a British private equity firm.
  • Advised on the entry into an employee share scheme by a high growth FMCG business.
